Don’Q Engine – Terms of Service Agreement

This Terms of Service Agreement (“Agreement”) governs your access to and use of the Don’Q Engine automated marketing platform (“Platform”), a service provided by Don’Q Technologies Inc. You have read, understood, and agreed to these Terms.
If you are accessing the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity.

Create, publish, and promote content.
Schedule social media campaigns.
Analyze digital performance.

License franchise-ready marketing solutions.

3. User Accounts
You must create an account to access certain features. You agree to:
Provide accurate, current, and complete information.
Maintain the confidentiality of your login credentials.
Notify us immediately of any unauthorized access or security breach.

4. License and Access
We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Platform solely for your business marketing and content automation needs. This license is subject to compliance with these Terms.
You agree not to:
Reverse engineer, modify, or create derivative works.
Use bots or automated methods to access or use the Platform.
Reproduce, duplicate, copy, sell, resell, or exploit the Platform for commercial gain outside the agreed use.

5. AI Content & Usage
Our Platform uses AI to generate marketing content. By using these services:
You understand and accept that AI outputs are probabilistic and not always accurate.
You assume responsibility for reviewing and approving content before publishing.
You retain ownership of content created, unless it infringes third-party rights or violates this Agreement.

6. Franchise Integration
Users who are approved as Don’Q Franchise Partners may access additional tools, dashboards, and monetization channels. Franchise use is subject to separate franchise agreements and onboarding.

7. Fees and Payments
Some features are paid. You agree to:
Pay all applicable subscription, service, or licensing fees.
Provide accurate billing information.
Allow Don’Q to auto-renew subscriptions unless canceled before renewal.
Late or failed payments may result in account suspension or cancellation.

8. User Responsibilities
You agree not to use the Platform to:
Upload or distribute unlawful, defamatory, or harmful content.
Violate any intellectual property or proprietary rights.
Distribute spam or engage in unethical marketing practices.
Bypass our systems, violate security, or attempt unauthorized access.

9. Data Privacy
Your data is governed by our Privacy Policy. We use reasonable security measures to protect your information. You acknowledge:
AI inputs and outputs may be temporarily stored to improve system performance.

10. Intellectual Property
All rights, title, and interest in the Platform, including its AI engine, templates, source code, and trademarks, belong to Don’Q Technologies Inc. Unauthorized use is prohibited.
You retain ownership of original content you create or upload, but grant Don’Q a non-exclusive, worldwide, royalty-free license to use it for system operations and service improvements.

11. Termination

12. Disclaimer of Warranties

Accuracy or reliability of AI outputs.
Business outcomes or virality from marketing tools.

13. Limitation of Liability
To the fullest extent permitted by law, Don’Q is not liable for any indirect, incidental, special, consequential, or punitive damages arising from:
Your use or inability to use the Platform.
Any loss of profits, data, or business opportunities.
Any content generated or shared via the Platform.

14. Indemnification
You agree to indemnify, defend, and hold harmless Don’Q Technologies Inc., its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, or expenses arising from:
Your use of the Platform.
Your violation of these Terms.
Your infringement of third-party rights.

15. Modifications
We may update these Terms from time to time. We will notify users of significant changes via email or platform alerts. Continued use of the Platform after changes constitutes acceptance.

16. Governing Law and Jurisdiction
